Terms of Service

1. Acceptance

These Terms of Service ("Terms") form a binding agreement between you (or the organisation you represent) and FeatureFactory ("we", "us", "our"). By clicking "Sign up", connecting a repository, or otherwise using the service, you accept these Terms in full.

If you are accepting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not have that authority, do not use the service.

2. Description of Service

FeatureFactory is a software-as-a-service platform that helps engineering teams plan, build, and measure AI-assisted web development. Core features include pull request scoring, velocity metrics, AI-generated work orders, build agent pipelines, and outcome tracking. Feature availability depends on your subscription plan.

3. Accounts and Teams

You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account. Notify us immediately at support@featurefactory.com if you suspect unauthorised access.

Teams are the primary billing and permission unit. An account can belong to multiple teams. The team owner is responsible for managing member access and ensuring that all members comply with these Terms.

4. Subscriptions and Payment

Paid plans are billed monthly or annually in advance. Prices are listed on the Pricing page. All fees are in US dollars and are non-refundable except where required by law or stated in our refund policy below.

If a payment fails, we will retry for up to 7 days. Continued failure will result in plan downgrade to the free tier. You can update your payment method at any time from the billing settings inside the app.

We reserve the right to change pricing with 30 days' notice. Existing annual subscriptions are locked at the price in effect at the time of purchase for the current billing cycle.

5. Cancellation and Refunds

You may cancel your subscription at any time. Access continues until the end of the current billing period. We do not provide pro-rated refunds for partial billing periods on monthly plans. Annual plans may receive a pro-rated refund for the unused portion within 14 days of the initial purchase - contact support to request one.

6. Your Content and IP

You retain all intellectual property rights in the code, data, and other content you connect to the service ("Your Content"). You grant FeatureFactory a limited, non-exclusive licence to process Your Content solely to provide and improve the service for your team.

We do not claim ownership of Your Content, and we will not use it to train AI models without your explicit opt-in consent. AI outputs generated from Your Content (scores, summaries, work orders) belong to you.

7. Acceptable Use

You agree not to:

• -Use the service for any unlawful purpose or in violation of any applicable law.
• -Attempt to reverse-engineer, decompile, or extract the service's source code or proprietary algorithms.
• -Scrape, crawl, or systematically extract data from the service beyond normal API usage.
• -Transmit malware, spam, or any code intended to disrupt or damage systems.
• -Impersonate another user, team, or organisation.
• -Connect repositories you do not have the right to share with a third-party service.

8. Service Availability

We target 99.9% monthly uptime. Planned maintenance is announced via our Status page. We are not liable for outages caused by third-party providers (GitHub, Stripe, AWS, etc.) or by force-majeure events outside our control.

9. Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. AI-generated scores, recommendations, and work orders are probabilistic outputs - you are responsible for validating them before acting on them.

10. Limitation of Liability

To the maximum extent permitted by law, FeatureFactory's total liability for any claim arising out of or relating to these Terms or the service will not exceed the fees you paid in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, loss of profits, or loss of data.

11. Indemnification

You agree to indemnify and hold harmless FeatureFactory and its officers, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your infringement of any third-party right.

12. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately if you breach these Terms, if required by law, or if we reasonably believe continued access poses a security risk. On termination, your data will be retained for 30 days to allow export, then deleted in accordance with our Privacy Policy.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before they take effect. Continued use of the service after that date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to exclusive jurisdiction there.
